To Our Vendor Partners, 

We have been actively working to address Gymboree’s debt maturities and establish a sustainable capital structure for the Company to ensure that we remain a strong business partner for you for many years to come. We are communicating with you about an important step forward we have taken.

We have entered into an agreement with a majority of our Term Loan Lenders on the terms of a comprehensive financial restructuring and recapitalization of the Company that will significantly reduce our debt and position the business for long-term growth and success. To facilitate this, Gymboree has elected to file voluntary petitions under Chapter 11 of the United States Bankruptcy Code. We expect to continue to operate our business as usual throughout this process and for the business to thrive following our emergence. We believe we are taking the right actions to reposition the business and support our future growth, and we are confident that this financial restructuring is the best path forward for all of our stakeholders.

What is important for you to know is that we expect to continue to operate as normal throughout this process. 

In conjunction with our Chapter 11 filing, we have received $35 million in new debtor-in-possession (“DIP”) financing from a majority of our Term Loan Lenders and up to $273.5 million in additional DIP financing from the existing lenders under Gymboree's ABL credit facilities, underscoring their confidence in the Company. This financing, in addition to our ongoing cash flow, will ensure we are able to continue meeting all of our financial obligations throughout the Chapter 11 process, including paying our vendors as usual for all goods and services delivered to Gymboree on or after June 11, 2017. As is customary in a Chapter 11 process, payment for goods and services delivered prior to the filing date will be addressed through the Chapter 11 case. As we work through this process, the cooperation of all of our vendor partners will be essential to a successful outcome.
